License

Licenses are agreements for the exploitation of intellectual property rights that regulate the conditions: economic, rights and duties, legal, etc.

When an invention is protected, for example with a patent, and a license agreement is made with a company, one of the aspects that is negotiated is the economic return that the licensee will give to the licensor during the development of the product and once it is implemented for sale. There are three main forms of economic return: initial payment or UPFRONT, payment for goals achieved or MILESTONES and, payment for benefits in sales or ROYALTIES. Royalties are deferred payments proportional to business results. They are generally a percentage of net sales. The company that has licensed the patent will pay these royalties annually to the owner of the patent.

Also, from the Business Development and Innovation Area in line with the philosophy of continued relationship with the company, monitoring of the stipulated contracts is established, not only for the correct fulfillment of the agreements, but also to generate new collaboration opportunities with the company and improve the valuation, not only of the project in question, but also the evaluation and valuation of the rest of the projects in the IDIBELL portfolio.

Collaboration

From the Business Development and Innovation Area, we offer to companies the possibility to collaborate in research projects with a high rate of innovation.

Collaborations are sought both in the advanced and early stages of the project to obtain a better and more efficient valuation of the project and to take full advantage of the research potential to obtain a better market orientation.

This type of collaboration opens the door to provide the project with aspects of research and the market that complement each other. Normally, the contributions of each party and the possible distribution of the intellectual property of the results obtained are negotiated.

Also, in this case, follow-ups of the stipulated agreements are implemented to improve the valuation of the projects and with the possibility to generate new Institution-Company synergies.

The Business Development and Innovation Area offers the possibility to generate scientific-technical service agreements to those companies that may need the Know-How and capacities of IDIBELL researchers to carry out certain works.

Among other contracts from the area, MTA and CDA/NDA are also managed.

Relationship with Spin-Off: The Business Development and Innovation Area offers continuous support to those projects that are finally developed as Spin-Off. Support is offered before the constitution in terms of project valuation, investment search, and on the other hand, once the Spin-Off is constituted, the follow-up is managed both in contractual terms (partner agreement, license), as well as new possible collaborations, support in the search for investors and regulation of incubation in office spaces.

On the other hand, the area is active in the study of new lines and business possibilities based on the exploitation of the knowledge generated by the research carried out in the institution and the knowledge generated by the innovation management itself.
